3. Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information necessary for project delivery
• Respond to requests for feedback and approvals in a timely manner
• Provide necessary access to accounts, platforms, and systems when required
• Ensure you have the legal right to use any content, logos, or materials provided
• Maintain confidentiality of any proprietary information shared during the project

4. Payment Terms

4.1 Payment Schedule

Payment terms will be outlined in individual project proposals and may include:

• Initial deposit (typically 50% of project value)
• Milestone payments based on project progress
• Final payment upon project completion

4.2 Late Payments

Late payments may result in:

• Project delays or suspension
• Late payment fees
• Legal action to recover outstanding amounts

5. Project Timeline and Deliverables

Project timelines and deliverables will be specified in individual project agreements. While we strive to meet all deadlines, we cannot guarantee completion dates due to factors beyond our control, including client feedback delays and third-party dependencies.

6. Intellectual Property

6.1 Client Ownership

Upon full payment, clients own the final deliverables created specifically for their project, excluding:

• Third-party software, fonts, or stock materials
• Proprietary tools, frameworks, or methodologies developed by RightFit Digital
• Portfolio rights to showcase work completed

6.2 RightFit Digital Rights

We retain the right to:

• Include completed work in our portfolio and marketing materials
• Use project learnings to improve our services
• Maintain ownership of proprietary tools and methodologies

7. Confidentiality

We are committed to maintaining the confidentiality of your business information and project details. We will not disclose confidential information to third parties without your written consent, except as required by law.

8. Limitation of Liability

RightFit Digital's liability is limited to the amount paid for services. We are not liable for:

• Indirect, incidental, or consequential damages
• Loss of profits, data, or business opportunities
• Third-party actions or service interruptions
• Delays caused by client feedback or third-party dependencies

9. Warranty and Support

9.1 Warranty Period

We provide a 30-day warranty period for website development projects, during which we will fix any bugs or issues related to our work at no additional cost.

9.2 Ongoing Support

Ongoing support and maintenance services are available under separate agreements and are not included in standard project deliverables.

10. Termination

Either party may terminate a project agreement with written notice. Upon termination:

• Client is responsible for payment of work completed to date
• RightFit Digital will deliver all completed work
• Confidentiality obligations remain in effect

11. Force Majeure

Neither party shall be liable for delays or failures in performance due to circumstances beyond their reasonable control, including but not limited to natural disasters, government actions, or internet service disruptions.

12. Dispute Resolution

In the event of a dispute, both parties agree to:

1. Attempt to resolve the dispute through good faith negotiations
2. If negotiations fail, engage in mediation before pursuing legal action
3. Any legal proceedings shall be governed by the laws of Victoria, Australia

13. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting on our website. Continued use of our services constitutes acceptance of modified terms.

14. Governing Law

These terms are governed by and construed in accordance with the laws of Victoria, Australia. Any disputes shall be subject to the exclusive jurisdiction of the courts of Victoria.
